General Terms and Conditions for Solar Module Transactions

1. General

These General Terms and Conditions for Solar Module Transactions (“GTC”) shall apply solely to the Purchase Orders (“PO”) entered into by and between Seller (“Seller”) and Seller’s client (“Buyer”) that explicitly make reference to these GTC. Seller and Buyer may hereinafter individually be referred to each as a “Party” and jointly as “Parties”.

Other terms and conditions do not become part of the PO even if Seller accepts a purchase order from Buyer without objection, despite being informed of contradictory terms, or if these terms are mentioned in specific correspondences. Seller’s lack of response to counter-conditions, even within order acceptance confirmations, does not imply acceptance or recognition.

These GTC shall be incorporated by reference in all PO issued hereunder. Each PO upon mutual execution by the Parties hereunder, together with its Exhibits (including these GTC and Warranty), shall constitute a separate binding agreement between the Parties (collectively referred to as “Agreement”), and both Parties shall be fully liable for all obligations arising thereunder pursuant to this Agreement.

2. Price and Payment Terms

Unless agreed otherwise, Price in the PO should include standard packaging and transportation cost for delivery of Goods if such cost should be borne by Seller pursuant to the applicable trade term (“Trade Term”). Any Trade Term defined in the PO shall have the meaning given to them in Incoterm 2020. The Price does not include value added tax or any other similar applicable taxes, duties, levies or charges in any jurisdiction (“Taxes”). The amount of any Taxes levied in connection with the sale of the Goods to Buyer shall be for Buyer’s account and shall be added to each invoice or separately invoiced by Seller to Buyer.

Buyer shall pay Seller the total amount under the PO, as set out in the PO agreed by both Parties, in accordance with the payment terms under the PO, to the bank account designated by Seller. All payments shall be made without any deductions on account of any taxes and free of set-off or any other counterclaims.

The open account payment terms only become applicable when the credit line issued for Buyer from Sinosure or an equivalent credit insurance company exceeds the PO amount. If the credit line falls short, Buyer is responsible for covering the deficit, including any applicable taxes, through a bank transfer (T/T) no later than 15 business days before the Shipment Date.

If Seller is unable to secure a credit limit for Buyer, Buyer must pay the outstanding amount or open a letter of credit for it within 5 days after receiving Seller's notification. Failure to comply relieves Seller of delivery responsibility.

3. Package

The packaging standard shall be in accordance with the general industry standard suitable for sea transportation. If Buyer has special requirements for packaging, these must be communicated at the time of placing the PO and include technical standards. Otherwise, Seller will apply standard packaging. Any additional expenses or product damages due to Buyer’s special packaging requirements are the responsibility of the Buyer.

4. Products

Products supplied under the PO shall comply with IEC standards. During the term of the PO, Seller may at its discretion improve product quality by using advanced technology, which may include modifications to power output, cell type, TPT, junction box, and connectors.

5. Delivery

Seller shall deliver the Goods to Buyer at the destination specified in the PO by the Customer Requested Delivery Date (“CRD”). If Buyer delays payment, Seller is entitled to suspend delivery and the CRD will be adjusted accordingly. Buyer shall cover any resulting costs such as storage or demurrage.

If Buyer fails to take delivery on time or refuses it without reason, Buyer shall bear warehousing, handling, and related costs. Seller also reserves the right to cancel the PO without refunding any down payment.

6. Transfer of Risk and Title

Risk of loss or damage passes to Buyer upon delivery. Title to the Goods remains with Seller until full payment under the PO is made.

7. Inspection and Warranty

Buyer must inspect Goods upon delivery for quantity and appearance and provide written notice of missing parts the same day. For quality defects, Buyer must notify Seller in writing within 7 days of delivery (“Inspection Period”). Failure to do so constitutes acceptance.

If defects are attributable to Seller, Seller may choose to repair, replace, or refund the defective Goods. The Limited Warranty (N-type ABC series) governs quality claims.

Warranty for replacement Goods is based on the remaining term of the original warranty. Warranty may be transferred to a third party upon Seller’s consent and under original terms.

Failure to follow Seller’s Installation Manual and Warranty conditions disqualifies the Goods from warranty coverage. Seller is not liable for damages caused by mishandling by Buyer or its customers.

Disputes over quality must be verified by a mutually recognized appraisal institution within 20 days. Inspection fees are borne by the party at fault. Payment obligations cannot be delayed due to pending quality claims.

8. Liquidated Damages

Late payments incur the maximum statutory interest plus collection costs, payable by Buyer. If Buyer’s solvency becomes questionable, Seller may suspend performance and request payment or security. If unmet, Seller may withdraw from the PO, particularly in custom-made product contracts.

If Seller is late in delivery, Buyer may charge 0.1% of the delayed amount per working day, capped at 3% of the delayed PO value. Upon reaching the cap, Seller may cancel the PO without further liability.

9. Limitation on Liability

Seller shall not be liable for indirect, incidental, or consequential damages such as loss of profits, opportunities, goodwill, or orders. Seller’s total liability shall not exceed 100% of the PO value.

10. Force Majeure

Seller is not liable for delays or failures due to force majeure events, such as natural disasters, government actions, wars, strikes, shortages, or other uncontrollable circumstances. Seller shall notify Buyer of such events promptly.

11. Termination

A non-defaulting Party may terminate the PO immediately with written notice if:

  • The other Party breaches material conditions and fails to cure within 10 days.

  • A breach cannot be cured.

  • The Party’s assets are subject to enforcement affecting operations.

  • The Party undergoes bankruptcy, liquidation, or similar procedures.

12. Intellectual Property

Seller may mark Goods with serial numbers and trademarks at its discretion. Buyer shall not harm Seller’s brand or rights, nor sell or handle counterfeit products.

Buyer shall respect Seller’s intellectual property and not alter or misuse trademarks or branding. Any infringement must be reported and Buyer must cooperate in enforcement efforts.

Buyer is prohibited from using “Aiko” or similar names in business registrations or trademarks. Infringement actions are exclusively Seller’s responsibility.

13. Confidentiality

Both Parties agree to keep confidential all information exchanged in relation to this PO, including product data, technical specs, and pricing. Disclosure is only allowed to internal staff on a need-to-know basis or if required by law. Breaches of confidentiality shall incur liability, and this clause survives PO termination.

14. Governing Law

These GTC and related PO shall be governed by the laws of Seller’s country. The UN Convention on Contracts for the International Sale of Goods does not apply.

15. Export Control

Buyer warrants compliance with all applicable trade restrictions and sanctions. Buyer shall not sell, supply, or export Goods to restricted entities or destinations. Buyer indemnifies Seller for any breach of these restrictions.

16. Miscellaneous

Any amendments must be in writing and signed by both Parties. Nothing herein creates a partnership or joint venture. Public announcements require prior written consent. These GTC become binding upon effectiveness of the referenced PO.

Delivery & Returns

Order Confirmation: As soon as you place your order, we will pre-authorise your card; however, your card will not be charged. We will then contact our supplier to confirm that the product you have purchased is available for immediate shipment. Once confirmed, we will process the payment, and your order will be dispatched straight away. If there is any delay, such as an item being on backorder, we will void the pre-authorisation and contact you to let you know.

Order Delivery: Once your order has been placed, assuming it is in stock and available for dispatch, we will charge your card, and your order will be dispatched within 5 working days. We’ll send you tracking details by email within 24 hours of your order being dispatched. If you have not received tracking details within 6 working days, please reach out to us via email at info@solarvoxgreen.co.uk so that we can help.

Damages: We ask that you thoroughly inspect all items at the point of delivery. We advise you not to accept delivery of any damaged items. If you discover that an item has been damaged, please send clear photos of the damaged items to info@solarvoxgreen.co.uk so that we can open an insurance claim on your behalf.

Cancellations & Refunds: Any orders cancelled after 48 hours of placing the order may be subject to additional fees. If your order has been dispatched, you (the buyer) will be responsible for any costs associated with returning the item. Any refunds can only be issued to the same payment method used to place the order.
